1. Application Process

By submitting a franchise application, you acknowledge that:

• All information provided is accurate and complete
• Submission of an application does not guarantee franchise approval
• The application process may take 2-4 weeks for initial review
• Additional documentation and interviews may be required
• TATA ZUDIO reserves the right to reject any application without providing reasons

2. Franchise Requirements

Prospective franchisees must meet the following criteria:

• Investment Capacity: Minimum investment ranging from ₹15-25 Lakhs
• Location: Suitable retail space in approved areas
• Business Experience: Prior retail or business management experience (preferred)
• Legal Compliance: Valid business licenses and permits
• Age Requirement: Applicants must be 18 years or older

3. Financial Obligations

Franchise partners are responsible for:

• Initial franchise fee (non-refundable)
• Store setup and infrastructure costs
• Opening inventory purchase
• Ongoing royalty fees (percentage of monthly sales)
• Marketing and advertising contributions
• Operating expenses including rent, utilities, and staff salaries

4. Franchise Agreement

Upon approval, franchisees will enter into a formal Franchise Agreement which includes:

• Duration: Typically 5-10 years with renewal options
• Territory: Exclusive or non-exclusive rights in designated areas
• Brand standards and operational guidelines
• Training and support commitments
• Performance targets and evaluation metrics
• Termination clauses and exit procedures

5. Operational Standards

Franchisees must adhere to:

• TATA ZUDIO's brand guidelines and visual identity
• Approved store layout and design specifications
• Product quality and pricing standards
• Customer service protocols
• Inventory management systems
• Marketing and promotional guidelines
• Health, safety, and labor regulations

6. Training and Support

TATA ZUDIO provides comprehensive support including:

• Initial training program (2-4 weeks)
• Store setup assistance
• Ongoing operational support
• Marketing and advertising materials
• Technology and POS system support
• Regular performance reviews and consultations

7. Intellectual Property

All trademarks, logos, and brand materials remain the exclusive property of TATA ZUDIO. Franchisees are granted a limited license to use these materials solely for operating the franchise. Unauthorized use is strictly prohibited.

8. Confidentiality

Franchisees must maintain strict confidentiality of all proprietary information, including operational procedures, supplier relationships, pricing strategies, and business plans. This obligation continues even after franchise termination.

9. Non-Competition

During the franchise term and for a specified period after termination, franchisees agree not to operate or invest in competing retail fashion businesses within designated territories.

10. Termination

The franchise agreement may be terminated if:

• Franchisee fails to meet performance standards
• Breach of franchise agreement terms
• Non-payment of fees or royalties
• Violation of brand standards
• Fraudulent activities or misrepresentation
• Mutual agreement between parties

11. Liability and Indemnification

Franchisees operate as independent business entities and are responsible for all liabilities arising from their operations. Franchisees agree to indemnify TATA ZUDIO against any claims, damages, or legal actions.

12. Dispute Resolution

Any disputes arising from the franchise relationship shall be resolved through arbitration in accordance with Indian arbitration laws. The venue for arbitration shall be Mumbai, India.

13. Governing Law

These Terms and Conditions are governed by the laws of India. All legal proceedings shall be conducted in courts located in Mumbai, Maharashtra.

14. Modifications

TATA ZUDIO reserves the right to modify these Terms and Conditions at any time. Significant changes will be communicated to applicants and franchisees with reasonable notice.
